Central-Executive Committee
By-Laws
Article I: Name and Membership
Section 1:
This organization consisting of all elected and appointed qualified Republican precinct committee chairpersons of Portage County, Ohio shall be known as, and is, the Portage County Republican Central-Executive Committee. Only elected or appointed precinct committeemen can vote at the organizational meeting.
Section 2: Additional Members of the Republican Party residing in Portage County.
- (A) The immediate past Chairperson of the Portage County Republican Central- Executive Committee.
- (B) The President of the Portage County Women’s Republican Club.
- (C) The President of the Young Republican Club.
- (D) The Presidents of the College Republicans at each Portage County university and college.
- (E) Any Republican resident of Portage County currently holding an elective office for: The State of Ohio (legislative or executive branch); Portage County government; as mayor of a city or village within Portage County.
- (F) Member of the Ohio Republican Party State Central Committee.
- (G) The Director or Deputy Director of the Portage County Board of Elections, whichever is the Republican appointment, and one (1) Republican clerk from the Board of Elections, the clerk (member) to be recommended by the Director or Deputy Director of the Board of Elections.
- (H) Up to nine (9) persons appointed by the Chairperson of the Portage County Republican Central-Executive Committee (with the approval of the Central-Executive members) who shall serve until the next Executive Committee reorganization.
Article II: Purpose
The purpose of the Central-Executive Committee shall be to further the cause of the Republican Party in Portage County as provided by law.
Article III: Officers
Section 1:
Officers of the Portage County Republican Central-Executive Committee shall be the County Chairperson, Vice Chairperson, Secretary, and Treasurer, all of whom shall be elected at the regular four (4) year meeting of the Central-Executive Committee as prescribed by law.
Section 2:
All vacancies occurring in any of these offices shall be filled as prescribed by law. (ORC 3517.05)
Section 3:
The cabinet shall consist of the officers of the Republican Central-Executive Committee and the immediate past chairperson.
Article IV: Duties of Officers
Section 1: Chairperson
The County Chairperson shall preside at all meetings of the Central-Executive Committee; serve as spokesperson in party matters; exercise leadership; appoint all committees and committee chairpersons and serve as an ex-officio member on same; and perform such duties usually incumbent upon a presiding officer. The Chairperson may hire an executive secretary and other headquarter staff, fix the salaries of said personnel, including the executive secretary with the approval of the central executive committee. The Chairperson may appoint a temporary officer in the event of a vacancy.
Section 2: Vice-Chairperson
The Vice-Chairperson shall, in the absence, disability, removal, resignation, or death of the Chairperson, exercise powers and perform the duties of the Chairperson until such time as that officer resumes his/her duties or a successor is elected. The Vice-Chairperson shall serve as Chair of the Finance Committee, assist in the planning of special events/fundraisers and Central Committee member recruitment.
Section 3: Secretary
The Secretary shall keep a complete record of all meetings of the Central- Executive Committee, maintain a roll of members and their attendance at meetings, issue calls for meetings, perform all responsibilities customarily incumbent upon such an officer including duties delegated by the Central- Executive Committee.
Section 4: Treasurer
The Treasurer shall be the custodian of all funds, deposit same in a bank or depository approved by the Central-Executive Committee, keep an account of all receipts and expenditures, make a written financial report to the Chairperson at his/her direction and to the Board of Elections and taxing authorities as provided by law. The Treasurer shall be bonded in an amount determined by and at the expense of the Central-Executive Committee. The Treasurer will perform other functions as normally associated with such a position.
Section 5: Cabinet
The cabinet shall prepare an annual budget for the calendar year beginning January 1, and present it to the Central-Executive Committee for approval no later than November of each year. The Chairperson and/or Treasurer may authorize expenditures within the line items of the approved budget. All checks drawn on the account(s) of the Portage County Republican Central-Executive Committee shall be signed by two (2) officers.
Section 6: Removal of Officer
Any officer can be removed from office for malfeasance or failure to perform their official duties as designated by the by-laws. A special meeting of the Central-Executive Committee shall be called for the purpose of said removal. A majority of the Central-Executive Committee members in attendance shall be needed to cause removal.
Article V: Meetings
Section 1:
The Central-Executive Committee shall meet at least four (4) times a year at a place determined by the Chairperson. Written notice of the meetings shall be sent at least five (5) days prior to the meeting.
Section 2: Special Meetings
Special meetings of the Portage County Central-Executive Committee may be called by the County Chairperson or by petition to the County Chairperson by twenty (20) percent of the Central-Executive Committee members. The Chairperson shall call the meeting within fourteen (14) days of receiving the petition. A written notice shall be sent to each member of the Central-Executive Committee specifying the purpose of the meeting five (5) days prior to the meeting.
Section 3: Quorum
A quorum for all meetings shall be fifteen (15) voting members of the Central-Executive Committee.
Section 4: Parliamentary Authority
The rules contained in the current edition of Robert’s Rules of Order: Newly Revised shall govern the functions of the Central-Executive Committee in all cases to which they are applicable and in which they are not inconsistent with the by-laws or any special rules adopted by the Central-Executive Committee, Federal or State of Ohio law.
Section 5: Order of Business
The order of business as follows shall be used at meetings of the Central-Executive Committee meetings: Call to Order; Salute to the American flag; Roll Call; Approval of Minutes, Treasurer’s Report; Old Business; New Business; Good of the Party; Adjournment.
Article VI: Committees
As determined by a majority of officers or members and appointed in the same manner.
Article VII: Endorsements
Only an unopposed candidate for national, state, county, city, or local offices may be officially endorsed by the Portage County Republican Central-Executive Committee prior to the primary election.
Article VIII: By-laws
Section 1:
These by-laws shall become effective immediately upon their adoption by a two-thirds (2/3) vote of Portage County Republican Central-Executive Committee members in attendance. They may be amended by a two-thirds (2/3) vote of members present and voting of the Central-Executive Committee provided that a copy of the proposed amendment(s) has/have been mailed or sent electronically to each member of the Central-Executive Committee at least seven (7) days prior to such meeting.
Section 2:
These by-laws shall be reviewed every four (4) years by a committee appointed by the Chairperson.
